Byte Agent, including its source code, object code, binaries, documentation,
configuration, prompts, skills, themes, and all accompanying materials
(collectively, the "Software"), is the confidential and proprietary property of
Bytevion and is protected by copyright and other intellectual property laws and
treaties.

1. No License Granted

The Software is licensed, not sold. No license, right, title, or interest in or
to the Software is granted to you by implication, estoppel, or otherwise. Except
under a separate written agreement signed by an authorized representative of
Bytevion, you have no permission to use, install, run, access, copy, reproduce,
store, publish, display, transmit, distribute, sublicense, rent, lease, lend,
sell, or otherwise transfer the Software, in whole or in part, in any form or by
any means.

2. Restrictions

Except to the extent expressly permitted by a separate written agreement signed
by an authorized representative of Bytevion, or to the extent such restriction
is prohibited by applicable law, you shall not: (a) modify, adapt, translate, or
create derivative works based on the Software; (b) reverse engineer, decompile,
disassemble, or otherwise attempt to derive the source code, structure, ideas,
algorithms, or organization of the Software; (c) remove, obscure, or alter any
copyright, trademark, or other proprietary notice contained in or on the
Software; (d) use the Software to build, train, or improve a competing product
or service; or (e) permit any third party to do any of the foregoing.

3. Ownership

Bytevion retains all right, title, and interest in and to the Software,
including all intellectual property rights therein. All rights not expressly
granted in a separate signed agreement are reserved by Bytevion.

4. Third-Party Terms

Components identified in THIRD_PARTY_NOTICES.md are governed by their stated
third-party licences, not by Bytevion's ownership claim, to the extent required
by those licences. The Software may also interoperate with third-party services
and model providers. Your use of those services is governed solely by the terms
and policies of the respective providers, and Bytevion makes no representation
or warranty regarding them.

5. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY
KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO
THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
TITLE, ACCURACY, QUIET ENJOYMENT, AND NONINFRINGEMENT. BYTEVION DOES NOT WARRANT
THAT THE SOFTWARE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS
WILL BE CORRECTED, OR THAT ANY OUTPUT PRODUCED BY THE SOFTWARE WILL BE ACCURATE,
COMPLETE, OR SUITABLE FOR ANY PURPOSE.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BYTEVION OR
ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT,
INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY
LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR COST OF
SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE
OR ITS USE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY,
OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT BYTEVION HAS BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES. BYTEVION'S TOTAL AGGREGATE LIABILITY ARISING OUT OF
OR RELATING TO THE SOFTWARE SHALL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY YOU TO
BYTEVION FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE
TO THE CLAIM.

7. Termination

Any rights granted under a separate signed agreement terminate immediately upon
breach of that agreement or of these terms. Upon termination you must
immediately cease all use of the Software and destroy all copies in your
possession or control.

8. Execution of Generated Code

The Software executes model-generated code and project commands with the
permissions of the invoking user. It is not a security sandbox. You are solely
responsible for the environments, repositories, instructions, and credentials
you expose to it.
