# Terms of Use — The Matrix AI

## Acceptance of Terms

By installing or using The Matrix AI ("the Software"), you agree to be bound by these Terms of Use and the Business Source License 1.1 ("BSL"). If you do not agree, do not use the Software.

## License

The Matrix AI is released under the **Business Source License 1.1** (BSL 1.1). See the [LICENSE](../../LICENSE) file for the full license text.

### Permitted Uses

You **MAY**:

- Use the Software for personal or commercial projects
- Use the Software in professional development workflows
- Create internal tools that integrate with the Software
- Use the Software for educational purposes and research

### Prohibited Uses

You may **NOT**:

- Create, offer, or operate a multi-agent development framework, AI agent orchestration tool, or substantially similar product based on this Software
- Redistribute, repackage, or rebrand the Software or any substantial portion thereof
- Remove or alter copyright notices, attribution, or licensing information
- Share, transfer, or resell premium tokens
- Reverse-engineer proprietary components of the Software
- Use the Software's agent personas, workflows, or branding to create competing products

### Intellectual Property

The following are protected intellectual property of Luan Ferreira:

- The Matrix AI framework, architecture, and design
- Agent personas (Morpheus, Neo, Trinity, Oracle, Smith, and all others)
- Workflow definitions (SDC, Spec Pipeline, Brownfield Discovery, etc.)
- LMAS methodology and orchestration patterns
- Associated logos, names, and branding

## Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.

## Limitation of Liability

IN NO EVENT SHALL THE AUTHORS, COPYRIGHT HOLDERS, OR LUAN FERREIRA BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE.

## Token Terms

Premium tokens are:
- Personal and non-transferable
- Subject to revocation for violation of these terms
- Valid for the period specified at purchase

## AI-Generated Content

When using AI providers (Claude, OpenAI, etc.) through The Matrix AI:

1. You are responsible for content generated
2. AI interactions are subject to provider terms of service
3. AI outputs are not guaranteed to be accurate
4. Always review AI-generated code before use

## Violation and Enforcement

Violation of these terms may result in:

1. Revocation of premium token without refund
2. Termination of access to the Software
3. Legal action for intellectual property infringement

## Governing Law

These terms shall be governed by the laws of Brazil.

## Changes to Terms

We reserve the right to modify these terms at any time. Changes take effect immediately upon posting.
