END USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and OneGrep, Inc. ("Licensor") for the software product identified above, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("Software").

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE.

1. GRANT OF LICENSE
   Licensor grants you a limited, non-exclusive, non-transferable license to use the Software subject to the following terms:
   a) You may use the Software solely for your internal business purposes
   b) You may install the Software on only the number of devices specified in your license purchase
   c) This license is personal to you and cannot be shared or transferred

2. PROPRIETARY RIGHTS AND RESTRICTIONS
   a) The Software is proprietary to Licensor and is protected by copyright and other intellectual property laws
   b) You may NOT:
      - Copy, modify, or create derivative works of the Software
      - Reverse engineer, decompile, or disassemble the Software
      - Remove any proprietary notices or labels from the Software
      - Transfer, sublicense, lease, lend, rent or distribute the Software to any third party
      - Use the Software for any commercial purpose without explicit written permission
      - Make the Software available over a network where it could be used by multiple devices
      - Allow any third party to access or use the Software

3. ADDITIONAL PROPRIETARY PROVISIONS
   a) Strict Confidentiality
      - The Software constitutes valuable trade secrets of Licensor
      - You must maintain strict confidentiality of the Software
      - You must implement reasonable security measures to prevent unauthorized access
   b) Usage Monitoring
      - Licensor reserves the right to monitor and audit your use of the Software
      - You agree to cooperate with Licensor's reasonable monitoring requests
   c) Non-Competition
      - You may not use the Software to develop competing products
      - You may not assist others in developing competing products

4. TERMINATION
   a) This Agreement terminates automatically if you fail to comply with its terms
   b) Upon termination:
      - Your license rights end immediately
      - You must cease all use of the Software
      - You must destroy all copies of the Software
      - You must certify in writing that you have complied with the above

5. WARRANTY DISCLAIMER
   THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. LIMITATION OF LIABILITY
   IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, BUSINESS INTERRUPTION, OR LOST INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. INDEMNIFICATION
   You agree to indemnify and hold Licensor harmless from any claims, damages, liabilities, costs and fees (including reasonable attorney fees) arising from your use of the Software or your violation of this Agreement.

8. GOVERNING LAW
   This Agreement shall be governed by the laws of [Your Jurisdiction], without regard to conflicts of law principles. Any dispute shall be litigated in the courts of [Your Jurisdiction].

9. ENTIRE AGREEMENT
   This Agreement constitutes the entire agreement between the parties concerning the Software and supersedes all prior agreements and understandings.

By installing or using the Software, you acknowledge that you have read and understood this Agreement and agree to be bound by its terms.
