This SDK and all associated source code, object code, documentation, interfaces, workflows, components, and related materials (collectively, the “SDK”) are proprietary software owned by Taxbit, Inc. (“Taxbit”).

The SDK is not open-source software and is not licensed under any open-source license.

Subject to the terms of an applicable agreement between Taxbit and the authorized customer or user (including, as applicable, a Master Services Agreement, Terms of Use, Order Form, or other commercial agreement with Taxbit), Taxbit grants authorized users a limited, non-exclusive, non-transferable, non-sublicensable right to use and integrate the SDK solely in connection with the authorized use of the Taxbit platform and services.

Developers evaluating the SDK prior to entering a commercial agreement with Taxbit may use the SDK solely for internal evaluation purposes and may not use the SDK in a production environment without an applicable commercial agreement in place.

Except as expressly permitted by Taxbit in writing or under the applicable commercial agreement, you may not:

- copy or reproduce the SDK except as reasonably necessary for authorized installation, integration, and deployment in connection with the Taxbit platform or services;
- modify, adapt, distribute, sublicense, sell, lease, transfer, or commercially exploit the SDK;
- use the SDK in a production environment independently of the Taxbit platform or services;
- reverse engineer, decompile, or attempt to derive source code from the SDK, except to the extent such restriction is prohibited by applicable law; or
- use the SDK to develop or support a competing product or service.

All rights not expressly granted are reserved by Taxbit.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SDK IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TAXBIT SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SDK.

This license is governed by the laws of the State of Delaware, without regard to its conflict of law principles.
