You are hereby granted a limited licence to use, copy, and modify the source code of this software and its associated documentation files (the "Software") solely for Non-Commercial Use, subject to the terms and conditions set forth below. 1. DEFINITIONS "Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with the Paraverse Foundation. References in this Licence to the "Paraverse Foundation" include the Paraverse Foundation and its Affiliates. "Official Product" means any compiled, packaged, or hosted release of the Talisman wallet application, browser extension, mobile application, or any other product or service, distributed or operated by the Paraverse Foundation. "Non-Commercial Use" means internal use of the Software that is not intended for or directed toward commercial advantage or monetary compensation. Non-Commercial Use includes, without limitation: (a) personal use for research, experiment, and testing for the benefit of public knowledge, personal study, private entertainment, hobby projects, or amateur pursuits; and (b) use in connection with contributing patches, bug fixes, or improvements back to the official repository of the Software. For the avoidance of doubt, Non-Commercial Use does NOT include: (c) any use in connection with a product or service that generates revenue, including but not limited to transaction fees, swap fees, subscription fees, advertising revenue, or any other form of monetary compensation; (d) any use to develop, operate, or distribute a product or service that competes with the Software or with any product or service then offered by the Paraverse Foundation, including, without limitation, any wallet, staking, swap, portfolio, or other digital-asset product or service, whether or not offered for a fee or generating revenue; or (e) any use by an entity that receives funding, revenue or other financial support, in any form, in connection with the operation of software derived from or incorporating the Software, including grants, donations, sponsorship, advertising, token issuances or emissions, airdrop allocations, validator or sequencer rewards, MEV, referral fees, liquidity or protocol incentives, or staking or delegation commissions. 2. SCOPE; TERMS OF SERVICE This Licence governs the use, copying, and modification of the Software in source code form, and any builds compiled from it by you. This Licence does not govern the use of Official Products. Your download, installation, and use of Official Products, including the Talisman wallet, are governed exclusively by the Talisman Terms of Service available at https://docs.talisman.xyz/talisman/about/terms-of-use (the "Terms of Service"). Use of an Official Product in accordance with the Terms of Service does not require rights under this Licence, and nothing in this Licence limits or modifies the Terms of Service. 3. GRANT OF LICENCE Subject to the terms and conditions of this Licence, you are granted a non-exclusive, non-transferable, non-sublicensable licence to use, copy, and modify the Software solely for Non-Commercial Use. Any modifications or derivative works must be used solely for Non-Commercial Use and remain subject to the terms of this Licence. Non-Commercial Use does not include the deployment or operation of the Software, or of any fork, derivative work, or modified version of the Software, in any live, public, or production environment, or in connection with real user funds, transactions, or externally accessible services. You may not grant any rights in the Software to any third party, whether by sublicence, distribution, or otherwise. 4. CONTRIBUTIONS You may submit modifications, patches, bug fixes, or improvements to the official repository of the Software maintained by the Paraverse Foundation, through pull requests or other contribution mechanisms approved by the Paraverse Foundation. No other distribution or publication of modifications is permitted. By contributing, you grant the Paraverse Foundation a perpetual, worldwide, non-exclusive, royalty-free, irrevocable licence to use, copy, modify, distribute, sublicense, and otherwise exploit your contributions in connection with the Software, under any licence terms the Paraverse Foundation may choose. By submitting a contribution, you represent and warrant that you have all rights necessary to grant the licence above, and that your contribution is your original work and does not, to your knowledge, infringe or misappropriate the intellectual property rights of any third party. 5. RESTRICTIONS (a) You may not use, copy, or modify the Software for any purpose other than Non-Commercial Use without the prior written consent of the Paraverse Foundation. No right to distribute, publish, or otherwise make available the Software, or any copy or modification of it, to any third party is granted, except for contributions submitted to the official repository in accordance with Section 4. (b) Any copy or modification of the Software must include this Licence and the copyright notice above. (c) You may not remove or alter any copyright notices, licence notices, or other proprietary markings in the Software. (d) You may not use the trademarks, trade names, logos, or service marks of the Paraverse Foundation or Talisman in any manner that is likely to cause confusion about the owner or authorised user of such marks. (e) You may not create, distribute, deploy, provide, or otherwise make available, directly or indirectly, the Software or any fork, derivative work, or modified version of the Software to any third party, including as a hosted service, web service, or similar offering, without prior written consent. (f) You may not take any action intended to circumvent or avoid the restrictions set forth in this Licence, whether directly or indirectly. (g) No rights are granted except as expressly set forth in this Licence. 6. COMMERCIAL LICENSING Any use of the Software that does not qualify as Non-Commercial Use requires a separate commercial licence from the Paraverse Foundation. If you wish to use the Software for any commercial purpose, please contact: foundation@talisman.xyz No commercial use is permitted unless and until a commercial licence is agreed in writing. An enquiry does not itself grant any right to use the Software, and the Paraverse Foundation may grant or decline a commercial licence in its sole discretion. 7. DISCLAIMER OF WARRANTIES THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE. 8. TERMINATION This Licence is effective until terminated. Your rights under this Licence will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, all rights granted under this Licence immediately cease, you must cease all use of the Software and destroy all copies in your possession, and any continued use or access constitutes unauthorised use of the Software. Termination does not limit any other rights or remedies available to the Paraverse Foundation at law or in equity. Sections 1, 4, 5, 7, 8, 9, 10, 11, and 12 shall survive any termination of this Licence, and the licence granted to the Paraverse Foundation under Section 4 is perpetual and irrevocable and is not affected by termination. 9. INTELLECTUAL PROPERTY AND RESERVATION OF RIGHTS As between you and the Paraverse Foundation, and excluding any third-party or open-source components contained in the Software (which remain subject to their own licence terms), the Software, including its source code, architecture, and the designs, visual appearance, user interface, and user experience embodied in it (the "Designs"), and all copyright, patent, design, trade dress, trade secret, and other intellectual property rights in any of them, are and remain the exclusive property of the Paraverse Foundation. (a) No licence or other right is granted, whether by implication, estoppel, exhaustion, or otherwise, under any patent, design right, trademark, or trade dress of the Paraverse Foundation, except as expressly set forth in this Licence. (b) You may not reproduce, imitate, or use the Designs, in whole or in part, in or in connection with any product or service other than the Software as licensed under this Licence. (c) You may not apply for, register, or attempt to register, or assist any third party in applying for or registering, any patent, design registration, trademark, or other intellectual property right that claims, covers, or is derived from the Software or the Designs. (d) If you, or any entity affiliated with you, assert any intellectual property claim against the Paraverse Foundation, or against any party for its use of the Software as authorised by the Paraverse Foundation, all rights granted to you under this Licence terminate immediately. 10. PRIOR VERSIONS (a) Versions of the Software released before 8 July 2026 ("Prior Versions") were made available under the GNU General Public License version 3 (the "Prior Licence"). Nothing in this Licence revokes, terminates, or modifies any rights validly obtained in a Prior Version under the terms of the Prior Licence, and each Prior Version remains available under the terms of the Prior Licence. (b) All versions of the Software released on or after 8 July 2026 are licensed solely under this Licence. Rights in a Prior Version under the Prior Licence do not extend to this version or any subsequent version of the Software. (c) The Paraverse Foundation reserves all rights in the Software not expressly granted by this Licence or, in respect of Prior Versions, by the Prior Licence. No act or omission of the Paraverse Foundation, including its release of Prior Versions under the Prior Licence, shall be construed as a waiver of any right or as granting any licence by implication, estoppel, or otherwise. 11. GOVERNING LAW This Licence shall be governed by and construed in accordance with the laws of the Cayman Islands, without regard to its conflict of laws principles. The courts of the Cayman Islands shall have exclusive jurisdiction over any dispute arising out of or in connection with this Licence, except that the Paraverse Foundation may bring proceedings to protect or enforce its intellectual property rights, or to seek injunctive or equitable relief, in any court of competent jurisdiction. 12. ASSIGNMENT The Paraverse Foundation may assign, novate, or otherwise transfer this Licence, and any of its rights and obligations under it, in whole or in part, to any Affiliate or to any other entity, without notice to or consent from you. You may not assign this Licence or any rights under it.
