"Affiliate" means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority. b. "Change Date" means the date specified above as the "Change Date", after which this License will automatically convert to the Change License. c. "Change License" means the license identified above as the "Change License". d. "Commercial Use" means use of the Licensed Work in a manner that generates revenue directly or indirectly, including but not limited to use in a production environment, offering the Licensed Work as a service, or integrating the Licensed Work into a product or service offered for sale. e. "Contributor" means any individual or entity that creates or contributes to the creation of Modifications. f. "Derivative Works" means any work, whether in Source or Object form, that is based on (or derived from) the Licensed Work and for which the editorial revisions, annotations, elaborations, or other modifications represent, as a whole, an original work of authorship. g. Automatic Conversion to Change License On the Change Date specified above, this License will automatically convert to the Change License identified above. Limitation of Liability In no event shall Licensor or any Contributor be liable for any indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, procurement of substitute goods or services; loss of use, data, or profits; or business interruption) however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise) arising in any way out of the Use of the Licensed Work, even if advised of the possibility of such damage. 8. Miscellaneous a. This License constitutes the entire agreement between the parties with respect to the Licensed Work and supersedes all prior or contemporaneous understandings regarding such subject matter. b. This License shall be governed by the laws of Ohio, USA, without regard to its conflict of law provisions. c. If any provision of this License is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable. --- For the avoidance of doubt, the Licensed Work is licensed under the Business Source License 1.1 until the Change Date, after which it will be licensed under the GNU General Public License v2.0 or later.
