Proprietary Software License Agreement

1. Grant of License
OneTeamSoftware grants you a non-exclusive, non-transferable license to use the Software solely for your internal business purposes. You may not copy, modify, distribute, or create derivative works of the Software.

2. Restrictions
You may not:
- Reverse engineer, decompile, or disassemble the Software
- Remove or alter any proprietary notices or labels
- Use the Software for any purpose other than as expressly permitted
- Transfer, sublicense, lease, lend, rent, or otherwise distribute the Software

3. Ownership
1TeamSoftware retains all ownership and intellectual property rights in the Software. This license does not transfer any ownership rights to you.

4. Term and Termination
This license is effective until terminated. It will terminate automatically if you fail to comply with any of the terms. Upon termination, you must cease all use of the Software and destroy all copies.

5. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. ONETEAMSOFTWARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

6. Limitation of Liability
IN NO EVENT SHALL ONETEAMSOFTWARE BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE.

7. Governing Law
This license is governed by the laws of the State of California. Any disputes shall be resolved in the courts of Santa Clara County, California.

8. Entire Agreement
This license constitutes the entire agreement between the parties regarding the Software and supersedes all prior agreements or understandings.
