MEMTRACE END USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("Agreement") is a legal agreement between
you ("User") and Syncable Dev ("Licensor") for the Memtrace software,
including any associated binaries, skills, documentation, and updates
(collectively, the "Software").

By installing, copying, or otherwise using the Software, you agree to be
bound by the terms of this Agreement. If you do not agree, do not install
or use the Software.


1. GRANT OF LICENSE

   Subject to the terms of this Agreement, Licensor grants you a
   non-exclusive, non-transferable, revocable, worldwide license to:

   (a) Download, install, and use the Software in binary form for your
       own personal or internal business purposes;

   (b) Use the Software to index, analyze, and query codebases you own
       or have authorization to access;

   (c) Use the bundled AI agent skills with compatible AI tools
       (e.g., Claude Code, Claude Desktop).


2. RESTRICTIONS

   You may NOT:

   (a) Reverse engineer, decompile, disassemble, or otherwise attempt to
       derive the source code of the Software;

   (b) Modify, adapt, translate, or create derivative works based on
       the Software;

   (c) Redistribute, sublicense, rent, lease, lend, sell, or otherwise
       transfer the Software or any rights therein to any third party;

   (d) Remove, alter, or obscure any proprietary notices, labels, or
       marks on the Software;

   (e) Use the Software to build a competing product or service;

   (f) Use the Software in any manner that violates applicable laws or
       regulations.


3. INTELLECTUAL PROPERTY

   The Software is licensed, not sold. Licensor retains all right, title,
   and interest in and to the Software, including all intellectual property
   rights. No rights are granted to you other than those expressly set
   forth in this Agreement.


4. AI AGENT SKILLS

   The AI agent skills included with the Software (installed to
   ~/.claude/skills/) are provided as part of the Software and are subject
   to the same terms. You may use them with compatible AI tools but may not
   extract, redistribute, or repurpose them independently of the Software.


5. DATA AND PRIVACY

   (a) The Software processes source code locally on your machine. No
       source code is transmitted to Licensor's servers unless you
       explicitly configure an external service connection.

   (b) The Software may collect anonymous usage telemetry (e.g., command
       frequency, error rates) to improve the product. You may opt out
       of telemetry via configuration.

   (c) The knowledge graph and all indexed data remain on your local
       machine under your control.


6. THIRD-PARTY COMPONENTS

   The Software may include or depend on third-party open source
   components, each governed by its own license. A list of such components
   and their licenses is available at https://www.memtrace.io/third-party
   or in the THIRD-PARTY-NOTICES file distributed with the Software,
   where applicable.


7. DISCLAIMER OF WARRANTIES

   THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS
   OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF
   MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
   LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE,
   UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.


8. LIMITATION OF LIABILITY

   TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL
   LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL,
   OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING
   OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE, EVEN IF LICENSOR
   HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

   LICENSOR'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU
   PAID FOR THE SOFTWARE (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING
   THE CLAIM.


9. TERMINATION

   (a) This Agreement is effective until terminated. Your rights under
       this Agreement will terminate automatically if you fail to comply
       with any of its terms.

   (b) Upon termination, you must cease all use of the Software and
       destroy all copies in your possession.

   (c) Sections 2, 3, 7, 8, and 10 shall survive termination.


10. GOVERNING LAW

    This Agreement shall be governed by and construed in accordance with
    the laws of the jurisdiction in which Licensor is established, without
    regard to its conflict of laws provisions.


11. ENTIRE AGREEMENT

    This Agreement constitutes the entire agreement between you and
    Licensor regarding the Software and supersedes all prior agreements,
    understandings, and communications, whether written or oral.
